Terms of Service

Agreement

By accessing or using VocaSync, including our web platform, REST API, and audio processing services, you agree to these terms and our Privacy Policy. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

Accounts

• Provide accurate account information and keep it up to date.
• Keep credentials secure and notify us of unauthorized use.
• You are responsible for activity that occurs under your account.

Billing and credits

VocaSync operates on a pay-as-you-go model. You purchase credits in advance, which are consumed based on usage: alignment and transcription jobs are charged per minute of audio processed, and synthesis jobs are charged per character of text. A free tier is available for synthesis and alignment for users with a valid payment method on file. Transcription has no free tier. Credits do not expire and are non-refundable. All payments are processed securely via Stripe. Prices are in GBP and applicable taxes may apply based on your location.

Acceptable use

• Do not use VocaSync for unlawful, harmful, fraudulent, or deceptive activities including generating misleading synthetic audio.
• Do not attempt to access or disrupt systems, data, or accounts without authorization, or abuse API rate limits.
• Respect intellectual property and privacy rights of others. Ensure you have the rights to any audio or text you submit.
• Do not use generated audio in a way that impersonates individuals without their consent or violates applicable laws.
• API keys are for your use only. Do not share or expose keys publicly.

Intellectual property

VocaSync and its content, including software, design, and branding, are owned by Valeon or its licensors. You receive a limited, non-exclusive license to use the service during your subscription.

Customer content

You retain ownership of all content you upload or generate, including audio files, transcripts, and synthesized outputs. You grant us a limited license to host, process, and transmit that content solely for providing the service. We do not use your content to train models or for purposes beyond service delivery. Generated audio and alignment outputs belong to you.

Service changes

We may update or modify the service to improve functionality, security, or compliance. We will provide notice when changes materially impact your use of the platform.

Termination

You may stop using VocaSync at any time. We may suspend or terminate access if you violate these terms or pose risk to the platform. Upon termination, your right to access the service ends.

Disclaimers

VocaSync is provided on an "as is" and "as available" basis. We disclaim all warranties to the extent permitted by law, including implied warranties of merchantability, fitness, and non-infringement.

Limitation of liability

To the extent permitted by law, Valeon will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

Indemnification

You agree to indemnify and hold harmless Valeon from claims arising out of your use of the service, your content, or your violation of these terms.

Governing law

These terms are governed by the laws of the jurisdiction in which Valeon is organized, without regard to conflict of law principles.
